1. Purpose These Terms and Conditions of Sale govern all sales of textile products made by Topolina (“the Seller”) to any professional buyer (“the Client”) at the New York trade show or for any order confirmed during this event. 2. Orders All orders must be submitted in writing (signed order form or electronic validation). The Seller reserves the right to refuse or modify an order until it has been accepted and the required deposit has been received. 3. Payment Terms A 50% deposit of the total order amount is required to validate and confirm the order. No production begins until received. The remaining 50% must be paid before the goods leave the Seller’s facility. Payments by bank transfer unless otherwise agreed. 4. Prices Prices may be stated in USD or EUR. Prices exclude transport, customs fees, import taxes, insurance, and related charges. 5. Shipping, Delivery & Transfer of Risk All transportation, insurance, customs, and import fees are the responsibility of the Client. Goods are sold EXW – Ex Works (Seller’s workshop in Morocco). Risk transfers once goods are made available at the Seller’s premises. 6. Claims & Inspection The Client must inspect goods upon receipt. Any claim must be submitted in writing within 48 hours. After that period, goods are deemed accepted. 7. Returns & Exchanges No returns or exchanges for goods produced on order unless expressly approved in writing. 8. Intellectual Property All designs, images, logos, and creations remain exclusive property of the Seller. 9. Retention of Title Goods remain the Seller’s property until full payment is received. 10. Force Majeure The Seller is not liable for delays caused by events beyond its control. 11. Governing Law These Terms are governed by Moroccan law. Disputes fall under the exclusive jurisdiction of the courts of Marrakech.
